Website Terms and Conditions of Use

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, do not use the Service. You are responsible for compliance with applicable laws.

2. Accounts

You must keep your account information accurate and your credentials confidential. You are responsible for all activity under your account.

3. Use License (site content)

We grant a limited, revocable, non-exclusive, non-transferable license to use the Service:

We may suspend or terminate access for violations. On termination, this license ends and you must cease use.

4. Vendor Listings & User Content

If you upload or post content (text, images, videos, logos, prices, messages), you confirm you have the necessary rights and that your content is lawful, accurate, and not misleading or abusive.

You grant us a worldwide, royalty-free license to host, store, reproduce, display, and distribute your content solely to operate, promote, and improve the Service (including marketing your listing on the platform). You can remove content at any time; we may retain copies for backup, audit, or legal compliance. We may moderate or remove content that violates these Terms.

5. Messaging & Communication

You agree not to send spam; harass; impersonate; promote illegal activity; or share illegal content. We may monitor for abuse, prevent fraud, and enforce these Terms. Messages are not end-to-end encrypted. We’re not responsible for message contents or disputes between users. We may limit, suspend, or terminate messaging for violations.

6. Subscriptions, Billing & Renewals (Stripe)

Paid plans (monthly or annual) are subscriptions that auto-renew until canceled. By starting a subscription, you authorize recurring charges of the then-current price to your payment method via Stripe (our payment processor). We do not store full card details.

Manage subscriptions & billing: You can update payment details, view invoices, and cancel any time via the Stripe Customer Portal (links provided in billing emails and in-app at the 'Billing' page).

Currency: All prices are listed and billed in New Zealand Dollars (NZD) unless stated otherwise.

Trials & promos: If offered, trials convert to paid unless you cancel before the trial ends.

Upgrades/downgrades: Upgrades may take effect immediately (with prorating). Downgrades take effect at the next renewal.

Price changes: We may change prices or plan features; changes apply on renewal. We’ll give reasonable notice (e.g., email or in-app). Continued use after the effective date is acceptance; otherwise cancel before renewal.

Delinquency/chargebacks: Failed or disputed payments may result in suspension or limits until resolved.

7. Taxes & GST (New Zealand)

This section is informational. It does not constitute tax advice.

We use Stripe Tax to calculate and collect taxes where required by law. Unless stated otherwise, prices are exclusive of tax.

NZ consumers (B2C): Where we’re required to register and charge GST, we will charge 15% GST on eligible sales to New Zealand consumers.

NZ businesses (B2B): If you’re GST-registered and provide a valid NZ GST number and confirm business use, we generally do not charge GST; otherwise GST may apply. Keep your tax IDs and billing details up to date in the Customer Portal.

Invoices: Tax invoices/credit notes are issued via Stripe and available in the Customer Portal.

Adjustments: We generally don’t make retroactive tax adjustments unless required by law.

8. Refunds

Refunds are handled under our Refund & Cancellation Policy (incorporated by reference). Please review it before purchasing.

9. Third-Party Links & Services

Third-party sites or services are not under our control. Use them at your own risk.

10. Service Changes; Availability

We may modify, suspend, or discontinue parts of the Service at any time. We do not guarantee uninterrupted or error-free operation.

11. Intellectual Property

The Service (including trademarks, logos, and software) is owned by LBLD AB or its licensors and protected by law. Except as expressly permitted, no rights are granted.

12. Copyright Complaints

To report alleged infringement, email hello@nelsonwedding.nz with: (1) identification of the work; (2) the infringing material and its location; (3) your contact details; (4) a statement of good-faith belief; and (5) a statement that the information is accurate and you’re authorized to act.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee accuracy, completeness, or reliability of content (including vendor listings and prices).

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NELSONWEDDING, LBLD AB, AND OUR DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/GOODWILL/DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions don’t allow certain limitations; in that case, the limitation applies to the fullest extent permitted.

15. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and costs (including reasonable legal fees) arising from: (1) your content; (2) your use of the Service; (3) your violation of these Terms or applicable law.

See our Privacy Policy to understand how we process personal data. Vendors are responsible for having rights to any personal data they upload.

17. Governing Law & Venue

These Terms are governed by the laws of Sweden, without regard to conflicts of law. Exclusive venue is the courts of Stockholm, Sweden (unless mandatory law provides otherwise).

18. Changes to Terms

We may update these Terms from time to time. If changes are material, we’ll provide notice (e.g., email or in-app). Continued use after the effective date constitutes acceptance.
